1. Parties

By placing an order on www.lpo365.eu, an agreement is concluded between the following parties:

Beneficiary: The legal entity or individual who places an online order for an LPO365 plan.

Consultant: Dulman & Asociații Advisory SRL, headquartered in Bucharest, Romania.

2. Scope of the Agreement

LPO365 constitutes a legal process outsourcing platform provided by the Consultant under a monthly or on-demand subscription model. It grants the Beneficiary access to a structured set of legal and compliance services, which may include, but are not limited to: updating and reviewing business documents, ensuring compliance with applicable legal and regulatory requirements, and supporting dispute resolution processes. The scope of services may vary depending on the specific plan selected by the Beneficiary.

3. Duration

This Agreement takes effect as soon as the Beneficiary accepts it and remains active for as long as the Services are used, or until either party chooses to terminate it in accordance with Article 9.

4. Billing and Payment

Invoices are issued monthly or upon request, depending on the selected plan. Payments are due within 5 calendar days from the invoice date.

In case of late payment, a 0.1% per day late fee may apply. Service access may be suspended without notice in the event of non-payment.

A success fee may apply in cases such as: favorable outcomes for the Beneficiary (as claimant or defendant); confirmed bankruptcy or deregistration in insolvency proceedings; early termination of the collaboration before case completion.

5. Consultant’s Commitments

The Consultant agrees to:

- act strictly within the scope of this Agreement and deliver services accurately and on time, based on written requests and agreed timelines;

- work directly or through trusted third parties while ensuring service quality and confidentiality;

- avoid conflicts of interest and protect all confidential information;

- comply with applicable laws and notify the Beneficiary of any issues that may affect service delivery;

- maintain a dedicated communication channel (e.g., email, portal, Slack).

6. Beneficiary’s Commitments

The Beneficiary agrees to:

- provide timely and accurate information required for service delivery;

- pay invoices on time, understanding that late payments may affect service continuity;

- avoid direct or indirect business relationships with the Consultant’s current or former collaborators without written consent. Any breach of this obligation may lead to legal and financial liability.

- collaborate actively and constructively with the Consultant throughout the engagement.

7. Third-Party Engagements

The Consultant may delegate tasks to collaborators or external providers, as needed, while maintaining quality and confidentiality standards. The Beneficiary is only required to sign documents when strictly necessary.

Additional costs (e.g., legal fees, transport, bailiff services, expert opinions) will be invoiced separately with prior written approval from the Beneficiary.

8. Confidentiality and Data Protection

Both parties commit to keeping all shared information confidential, unless disclosure is required by law.

The Consultant complies with all applicable data protection laws, including Regulation (EU) 2016/679 (GDPR), when processing personal data related to service delivery.

9. Termination

Either party may terminate this Agreement with 30 days’ prior written notice.

10. Force Majeure and Disputes

Neither party will be held responsible for delays or failure to perform caused by force majeure events. Any outstanding obligations that became due prior to such events remain valid and enforceable.

If a dispute arises, both parties will seek an amicable solution. If no agreement is reached, the matter will be resolved under law by the competent courts at the Consultant’s registered office.

11. Updates to the Terms

To reflect service changes or legal requirements, the Consultant may update these Terms. Updates will be communicated via email and will take effect 30 calendar days from notification unless the Beneficiary objects in writing.

By continuing to use LPO365 services, the Beneficiary confirms their acceptance of the latest version of these Terms & Conditions.
